TERMS AND CONDITIONS1. SERVICE DESCRIPTION
Elektrowagen Consulting (“Provider” or “Company”) will perform a comprehensive vehicle diagnostic and physical assessment ("Services"). These Services include the collection and analysis of electronic vehicle data, high-voltage battery health evaluation, and a physical inspection of the vehicle’s exterior and mechanical wear items. Provider will deliver a multi-faceted digital report summarizing the findings ("Report").
2. PROVIDER OBLIGATIONS
Provider shall perform the Services with reasonable care and skill, in accordance with industry standards. Provider shall use qualified personnel and appropriate Diagnostic Tools to perform the Services.
Provider shall deliver the Report to Customer within the timeframe specified in the Sales Order, or if no timeframe is specified, within a reasonable time after the completion of the data collection.
3. CUSTOMER ACKNOWLEDGMENTS AND RESPONSIBILITIES
Customer acknowledges that: (a) Provider is not affiliated with any vehicle manufacturer; (b) Services may affect manufacturer warranties; (c) Reports represent a point-in-time assessment and not a guarantee of vehicle condition; and (d) Customer is solely responsible for any actions taken based on Report information. Customer shall provide accurate vehicle information and reasonable access to the vehicle.
Customer shall not copy, modify, share, or sell the Report, or remove any proprietary notices, except as permitted by law or with Provider’s prior written consent.
4. PAYMENT AND REFUNDS
Payment is due in full at the time the Services are rendered, unless otherwise specified in the Sales Order. Provider accepts payment by credit card, debit card, electronic funds transfer, or other methods specified in the Sales Order.
All fees are non-refundable except as expressly provided in this Article 4, the Sales Order, or as required by applicable law. If Provider cannot collect data due to technical limitations, Customer may receive a refund. No refunds will be issued based on disagreement with Report findings.
5. CANCELLATION
Either party may cancel this agreement as specified in the Sales Order. All cancellation requests must be submitted in writing. If Provider cancels this agreement for any reason other than Customer's breach, Provider will refund all fees paid by Customer. If Customer cancels, refunds will be processed according to the terms in the Sales Order.
6. INTELLECTUAL PROPERTY AND DATA PRIVACY
Provider retains ownership of all diagnostic tools, methodologies, and collected data. Customer receives a non-exclusive license to use the Report for personal or internal business purposes only. Provider may use anonymized data for research and service improvement. Provider will implement reasonable safeguards to protect Customer data and will not sell or share personally identifiable information except as required by law.
7. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any proprietary information shared during the provision of Services, including but not limited to vehicle data, diagnostic methods, and business information. Each party shall (a) use the same degree of care to protect the other party's Confidential Information as it uses to protect its own Confidential Information of similar nature, but in no event less than reasonable care; and (b) use the other party's Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
8. WARRANTIES
Provider warrants that the Services will be performed in a professional and workmanlike manner. This limited warranty is the sole and exclusive warranty provided by Provider. No other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are provided.

Customer warrants that they own the Vehicle or have authority from the owner for Provider to perform the Services, and that all information they provide about the Vehicle is accurate and complete.
THE SERVICES AND REPORTS ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE,’ WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT.
The Services and Reports are informational only and do not promise repair, replacement, or ongoing protection of the Vehicle. Provider does not guarantee that it will identify all potential issues with the Vehicle, the Services are not a substitute for manufacturer‑ recommended maintenance or inspections, and Provider does not warrant that any Report or the Services will prevent future Vehicle malfunctions or breakdowns.
THE SERVICES ARE NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY TESLA, INC. PROVIDER IS NOT AN AUTHORIZED TESLA SERVICE PROVIDER. THE SERVICES MAY AFFECT THE MANUFACTURER'S WARRANTY ON THE VEHICLE, AND CUSTOMER ACKNOWLEDGES THAT IT IS SOLELY RESPONSIBLE FOR UNDERSTANDING THE TERMS OF ANY MANUFACTURER'S WARRANTY.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY COLORADO LAW, PROVIDER'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SERVICES. Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, regardless of the form of action, whether in contract, tort, or otherwise.
10. INSURANCE COVERAGE
Provider maintains a comprehensive commercial insurance portfolio with limits not less than: (a) Commercial General Liability insurance with limits of $1,000,000 per occurrence and $2,000,000 in the aggregate; (b) Commercial Automobile Liability insurance with a combined single limit of $1,000,000, covering non-owned vehicles (for test drives); and (c) Professional Liability (Errors & Omissions) and Cyber Liability insurance with limits of $1,000,000 per claim and in the aggregate.
11. GOVERNING LAW & COMPLIANCE (2,,,,
This Agreement shall be governed by Colorado law.
The Services provided under this agreement do not constitute "motor vehicle service contracts" as defined under Colorado law, which applies to agreements for repair, replacement, or maintenance of a motor vehicle due to defects, accidental damage, or normal wear and tear.
12. DISPUTE RESOLUTION
The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement promptly by negotiation between executives who have authority to settle the controversy. If the dispute has not been resolved by negotiation within 30 days after delivery of the initial notice of negotiation, or if the parties failed to meet within 14 days after delivery, the parties shall submit the dispute to JAMS for mediation, and if the matter is not resolved through mediation, then it shall be submitted to JAMS for final and binding arbitration. This clause shall not preclude parties from (a) seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction, or (b) pursuing final remedy in small claims court.
13. GENERAL PROVISIONS
This Agreement, together with the Sales Order, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral. Provider may modify these Terms with notice to Customer. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right shall not constitute a waiver. These Terms may be executed electronically and in counterparts.

ELEKTROWAGEN CONSULTING PRIVACY POLICYEffective Date: December 1, 20251. SCOPE AND CONSENT This Privacy Policy governs the collection, use, and disclosure of information by Elektrowagen Consulting ("Provider" or "Company") in connection with the Services defined in the Sales Order. By signing the Sales Order or using the Services, Customer consents to the practices described herein. This policy is incorporated into and subject to the Terms and Conditions of the Sales Order.2. INFORMATION WE COLLECT Vehicle Identification & Diagnostic Data: Includes Vehicle Identification Number (VIN), year, make, model, and mileage.
High-Voltage Battery Performance Data: Real-world State of Health (SOH) metrics, cell voltage data, and thermal management statistics collected during diagnostic sessions.
Business Operational Data (B2B): Fleet mileage logs, fuel and energy expenditure records, utility rate schedules, and facility energy consumption data provided for Total Cost of Ownership (TCO) analysis.
Technical Wear & Tear Data: Digital measurements of tires, brake rotors, and other consumable mechanical components.
3. HOW WE USE YOUR INFORMATION Service Fulfillment: To conduct the inspection, generate the Report, and communicate findings to Customer.
Communications & Marketing: To send administrative notifications and to inform Customer about relevant Elektrowagen products, services, or promotions. Customer may opt-out of marketing communications at any time.
Internal Operations: For fraud prevention, security, and enforcing the Sales Order terms.
Research & Improvement: Provider may use anonymized, aggregated Vehicle Data to populate its proprietary databases, improve diagnostic methodologies, and conduct market research.
Financial & Strategy Modeling: To perform Total Cost of Ownership (TCO) Engine analysis and develop fleet electrification strategies for business clients.
Proprietary Database Development: To develop, maintain, and enhance the Elektrowagen EV Battery Health Database. All data used for this purpose is strictly anonymized and aggregated to remove any link to a specific individual or business entity.
Service Verification: To provide independent verification of battery health for sellers and certified "unvarnished truth" reports for buyers.
Safety & Compliance: To cross-reference vehicle data with national recall databases (NHTSA) and technical service bulletins (TSBs) via providers like ALLDATA and Experian.

legal4. INFORMATION SHARING AND DISCLOSURE Provider is a "white hat" service and does not sell Customer Personal Information to third parties for their marketing purposes. Information is disclosed only as follows:Service Providers: We may share data with trusted third-party vendors (e.g., payment processors, scheduling software, hosting services) solely to perform functions on our behalf.Legal Compliance: We may disclose information if required by law, subpoena, or to protect the rights and safety of Provider or others.Business Transfers: In the event of a merger, acquisition, or sale of assets, Customer information may be transferred as a business asset.5. DATA SECURITY Provider implements commercially reasonable safeguards to protect Customer data. However, Customer acknowledges that no method of electronic transmission or storage is 100% secure.6. THIRD-PARTY LINKS AND SERVICES The Services may facilitate access to third-party services (e.g., Autocheck by Experian). Provider is not responsible for the privacy practices of independent third parties. Customer is encouraged to review the privacy policies of any third-party service accessed.7. CHILDREN’S PRIVACY The Services are not intended for individuals under the age of 18. Provider does not knowingly collect personal information from children under age 13 consistent with the Children's Online Privacy Protection Act (COPPA).8. CONTACT AND UPDATES Provider may modify this Privacy Policy with notice to Customer or by posting an updated version on its website.
